END-USER LICENSE AGREEMENT FOR SQL COMMANDER

This End-User License Agreement (“EULA”) is a legal agreement between Elphsoft Ltd. (“AUTHOR”) and an individual or a single entity who agrees and accepts the following terms and conditions by installing, copying, or otherwise using the software product identified above (“SOFTWARE PRODUCT”).
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties. The SOFTWARE PRODUCT is licensed, not sold. This EULA does not give you any license to the copyrights or other intellectual property rights. All rights not expressly granted by this EULA are reserved to AUTHOR.
You may distribute the SOFTWARE PRODUCT in unmodified form (with its original installation package or portable ZIP archive). You may not alter, delete, or add any files in the distribution archive. Distributors may not charge a fee for the distribution itself. Anyone distributing the SOFTWARE PRODUCT for any kind of commercial income or bundle must first obtain written consent from the AUTHOR.

1. FREE VERSION (EVALUATION / NON-COMMERCIAL LICENSE)

The FREE VERSION of the SOFTWARE PRODUCT is intended strictly for non-commercial purposes, personal learning, or student use on individual home computers. Use of the FREE VERSION for commercial purposes, evaluation, or production testing inside business organizations is permitted for a maximum period of 30 days. Continued use of the FREE VERSION inside any commercial environment after this 30-day evaluation period constitutes a violation of copyright laws. You must either purchase a REGISTERED VERSION license or completely uninstall the SOFTWARE PRODUCT.

2. REGISTERED VERSION (COMMERCIAL PER-SEAT LICENSE)

Use of the REGISTERED VERSION of the SOFTWARE PRODUCT is governed on a “Per-Seat” workstation deployment model. Each license purchased allows exactly one (1) designated user to operate the SOFTWARE PRODUCT on a single workstation. If a multi-user corporate volume license is purchased, you may install and use the SOFTWARE PRODUCT on up to the specific total number of workstations, and by the maximum number of simultaneous users inside your organization, as specified in your purchase invoice. The registered SOFTWARE PRODUCT may not be rented, leased, lent, sub-licensed, or hosted as a shared remote service for unauthorized third parties.
Upon validation of your purchase, a unique ACTIVATION CODE will be issued. This ACTIVATION CODE is strictly confidential, remains the property of the AUTHOR, and must not be shared, published, or distributed. Any public or unauthorized distribution of the ACTIVATION CODE immediately and automatically terminates all rights granted under this EULA. Distributed or leaked ACTIVATION CODES will be blacklisted and disabled by the AUTHOR without prior notice.

3. REVERSE ENGINEERING LIMITATIONS

You may not alter, modify, adapt, translate, reverse engineer, decompile, or disassemble the binary files of the SOFTWARE PRODUCT, or attempt to derive its underlying source code, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

4. DATA PRIVACY AND SECURITY ASSURANCE

The AUTHOR respects your data sovereignty. The SOFTWARE PRODUCT operates as a native client database administration tool. The AUTHOR does not collect, transmit, intercept, or store your database credentials, connection strings, server IP addresses, SSH keys, database schemas, or raw SQL query strings. All database credentials stored within the software are kept locally on your workstation.

5. DISCLAIMER OF WARRANTY & LIMITATION OF LIABILITY

THIS SOFTWARE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE.

THE AUTHOR ASSUMES NO LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER. BECAUSE THE SOFTWARE PRODUCT IS A DATABASE ADMINISTRATIVE UTILITY capable of manipulating data structures, THE AUTHOR EXPLICITLY DISCLAIMS ANY LIABILITY FOR DATA LOSS, REPLICATION DELAYS, PRODUCTION DOWNTIME, INCORRECT RUNTIME STATISTICS, DATA CORRUPTION, OR UNINTENDED DATA MODIFICATIONS RESULTING FROM THE EXECUTION OF SQL SCRIPTS OR QUERIES. IN NO EVENT SHALL THE AUTHOR’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS OR DAMAGES ARISING UNDER THIS AGREEMENT EXCEED THE ACTUAL AMOUNT PAID BY YOU FOR THE LICENSED SOFTWARE.

6. TERMINATION

Without prejudice to any other rights, the AUTHOR may terminate this EULA immediately if you fail to comply with any terms and conditions outlined herein. In the event of termination, you must immediately cease all use and permanently delete and uninstall all copies of the SOFTWARE PRODUCT from all workstations and storage media.
